Seller Terms & Conditions
Last updated: October 2026 · Governing all seller applications, onboarding, and marketplace transactions
Our Merchant Partnership Pillars
1. Acceptance of Terms & Corporate Identity
These Seller Terms & Conditions (“Terms”) constitute a legally binding agreement between Zerohorizon Labs Private Limited (CIN: U62012DC2026PTC471425), having its registered office at DTU Innovation and Incubation Foundation, Main Bawana Road, Shahbad Daulatpur, North West Delhi, Delhi-110042, India (“Woohl”, “Company”, “we”, or “us”) and the business entity or founder (“Seller”, “Merchant”, or “you”) registering, applying, or listing goods on the Woohl marketplace.
By submitting an application via seller.woohl.com/apply or by executing a seller onboarding agreement, you agree to comply with and be bound by these Terms and our Seller Privacy Policy.
2. Application Process & Curation Discretion
Woohl is an invite-only and curated marketplace designed specifically for authentic Indian direct-to-consumer (D2C) brands.
- Free & Non-Binding Application: Applying to sell on Woohl is free of charge and does not bind either party to an immediate commercial contract.
- Editorial Curation: Acceptance into a seller cohort is decided at the sole discretion of Woohl's curation committee based on product craftsmanship, brand story, quality standards, and category capacity.
- Response Timeframe: Every applicant receives an official evaluation response within 5 to 7 business days from submission.
3. Non-Exclusivity
Participation on Woohl is strictly non-exclusive. Selling on Woohl does not in any manner restrict you from selling through your own direct-to-consumer online store, social channels, physical retail boutiques, exhibitions, or third-party marketplaces. You retain full control over your omnichannel distribution.
4. Merchant Warranties & Product Authenticity
By listing products on Woohl, the Merchant represents and warrants that:
- 100% Authenticity: All merchandise offered is genuine, original, newly manufactured, and unadulterated. Counterfeit, replica, or second-hand items are strictly prohibited.
- Statutory Compliance: Goods comply with all applicable Indian laws and safety regulations, including the Legal Metrology Act, 2009, Legal Metrology (Packaged Commodities) Rules, 2011, BIS standards, FSSAI regulations (for food & nutrition), and Drugs & Cosmetics Act (for beauty & personal care).
- Truthful Product Data: All descriptions, material compositions, sizes, expiry dates, Maximum Retail Price (MRP), and selling prices listed are accurate and non-misleading.
- Intellectual Property Ownership: The Merchant holds all necessary intellectual property rights, trademarks, and copyright permissions for brand marks, packaging, and marketing assets uploaded to Woohl.
5. Commercial Model, Commission & Settlements
Our commercial principles are straightforward and transparent:
- No Fixed Listing Fees: Woohl does not levy any upfront listing, account maintenance, or subscription fees.
- Commission on Delivered Orders Only: Commission is charged solely on orders successfully delivered to buyers. If an order is cancelled prior to shipment or returned during the return window, no marketplace commission is deducted.
- Creator Collaboration Share: When sales are driven via verified Woohl creator partnerships and content attribution, an agreed creator attribution share is deducted as specified in your category onboarding schedule.
- Settlement Cycle: Net payout settlements are disbursed weekly or bi-weekly directly to the seller's verified bank account following the completion of the customer return period.
- Statutory Tax Withholding: In accordance with Indian tax laws, Woohl deducts Tax Collected at Source (TCS) under Section 52 of the Central Goods and Services Tax (CGST) Act and TDS under Section 194-O of the Income Tax Act, 1961, remitting certificates to the seller periodically.
6. Order Fulfillment & Packaging Standards
To uphold a premium customer experience across the marketplace, sellers agree to the following operational standards:
- Dispatch SLA: Orders must be verified, safely packed, and marked ready for pickup within 24 to 48 hours of order receipt.
- Premium Packaging: Goods must be packaged in clean, brand-worthy, protective packaging that withstands transit without breakage or leakage.
- Logistics Handover: Parcels must be handed over strictly to Woohl-integrated logistics carriers with accurate shipping labels and digital manifests.
7. Returns, Replacements & RTO Protocol
A standard 7-day customer return and replacement window applies to eligible product categories. Items marked customized, perishable, or intimate wear are non-returnable unless defective.
In the event of a customer Return-to-Origin (RTO) due to non-delivery, the parcel is returned to the merchant's warehouse. In cases where a returned parcel is reported damaged or tampered by the customer or transit carrier, Woohl provides a dedicated dispute claims protocol to reimburse verified merchant losses.
8. Intellectual Property License
The Seller retains 100% ownership of its trademarks, logos, product imagery, and trade dress. The Seller grants Woohl a non-exclusive, royalty-free, worldwide license during the term of partnership to reproduce, publish, and display the brand's assets across Woohl web/mobile applications, promotional social media, curated newsletters, and authorized creator campaigns solely to market the Seller's products.
9. Indemnification & Limitation of Liability
The Merchant agrees to indemnify, defend, and hold harmless Zerohorizon Labs Private Limited, its officers, directors, and affiliates from any third-party claims, consumer disputes, regulatory penalties, or damages arising from: (a) breach of product authenticity or legal compliance; (b) manufacturing defects or injury caused by products; or (c) infringement of third-party intellectual property rights.
Woohl acts as an e-commerce marketplace facilitator and shall not be liable for indirect, incidental, or consequential business damages arising from platform downtime or courier service delays beyond reasonable operational control.
10. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. The competent courts in New Delhi, India shall have exclusive jurisdiction over any disputes, claims, or actions arising out of or in connection with these Terms or marketplace operations.
